Stax Terms of Service

Version 2026-10-18. Effective October 18, 2026.

These Terms of Service apply to anyone who visits staxlabs.org or uses the Stax app. They are between you and Stax Labs LLC ("Stax", "we", "us"). By using the website or app you agree to them. If you don't agree, don't use them.

Investment advisory services, including recommendations, trading authority, fees and account termination, are governed by our Client Agreement. In the event of a conflict, the Client Agreement controls. Our Privacy Policy describes our collection, use, disclosure and retention of personal information.

SECTION 7 PROVIDES FOR BINDING INDIVIDUAL ARBITRATION AND A CLASS ACTION WAIVER. IT INCLUDES A 30 DAY RIGHT TO OPT OUT. Disputes governed by the Client Agreement follow that agreement.

1. Who we are

Stax Labs LLC is an investment adviser registered with the U.S. Securities and Exchange Commission (CRD 343399). Registration does not imply a certain level of skill or training. Visiting our website does not make you a client; only accepting our Client Agreement in the app does. Information on the website is general and is not advice about your own situation.

2. Using the website and app

Eligibility and account information. You must be at least 18 years old and a resident of the United States to use the app or open an account. You represent and warrant that all information you provide is true, accurate, current and complete, and agree to promptly update that information.

Account security. You are responsible for maintaining the confidentiality of your credentials and for activity you authorize under your account. You may not share, sell, transfer or otherwise make your account or credentials available to another person. Notify team@staxlabs.org immediately of any suspected compromise or unauthorized use and cooperate with reasonable security measures.

Prohibited conduct. Except as expressly authorized by these Terms, the functionality we provide, or our prior written consent, you may not, and may not assist or permit another person to:

Authorized use. The restrictions above are subject to rights that applicable law makes non-waivable. Personal account-record downloads, accessibility tools used for their intended purpose, and sharing or exports through authorized features are permitted within the scope of those features and section 3.

Access and enforcement. We may investigate violations, restrict or suspend access, remove content, or terminate use in our discretion, with or without notice, subject to applicable law and the Client Agreement. We may modify or discontinue features, integrations, providers or supported software versions. Account servicing, fees, refunds and advisory-account termination remain governed by the applicable Client Agreement or other expressly accepted paid-service terms.

3. Our content and data rights

Stax property. As between you and Stax, Stax and its licensors retain all rights in the website, app, software, algorithms, methodologies, models, proprietary strategies, grades, charts, designs, text, trademarks and other proprietary content, together with improvements and derivative works. Subject to your compliance with these Terms, Stax grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use them for your personal, non-commercial purposes through authorized features. All other rights are reserved.

User content. You retain any pre-existing rights in information, prompts, instructions, configurations and other material you submit or make available through Stax ("User Content"). You represent and warrant that you have the rights and permissions necessary for Stax to use User Content as provided here. You grant Stax a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, fully paid, royalty-free license to retain, host, reproduce, process, analyze, adapt, combine, create derivative works from, display, distribute and otherwise use User Content for any lawful business purpose, including operating, securing and improving Stax; research, analytics and product development; developing, training, testing and evaluating models and algorithms; and developing and commercializing products and services, subject to the privacy provisions below.

Generated data and outputs. As between you and Stax, and to the extent permitted by law, Stax owns its proprietary outputs, strategy configurations, simulation results, analyses, compilations, derived data, models and improvements created by or for Stax through operation of the platform, subject to pre-existing rights in User Content and third-party materials. You may access, retain and share outputs through authorized features for your personal use. Outputs may be similar or identical to outputs provided to other users. Any rights you hold in an output are licensed to Stax on the same terms as User Content.

Aggregated and de-identified data. Stax may create, retain, use, disclose, license and commercialize aggregated or de-identified data derived from platform use, User Content and outputs for any lawful purpose. Such data must meet the applicable legal standard for information that does not identify, and cannot reasonably be linked to, you or another individual. Stax will maintain de-identified data in that form as required by law.

Privacy and retention. Collection, processing, disclosure and retention of personal information, including information within User Content, outputs or derived data, are governed by the Privacy Policy, applicable financial privacy notices and law, including required consents and opt-out rights. These requirements also apply to model training and commercial uses. The licenses and rights in this section survive account closure, subject to those requirements and applicable third-party rights.

Feedback. You assign to Stax all right, title and interest you have in product ideas, suggestions and other feedback you voluntarily provide about Stax. To the extent an assignment is ineffective, you grant Stax a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free license to use and commercialize that feedback for any purpose without restriction or compensation.

Sharing and moderation. When you use a sharing feature, you authorize Stax to publish the material and information selected for sharing. Anyone with the link may view, copy or reshare it; disabling a link may not remove retained copies. Other users may access and use shared material as the feature permits. Stax may review, restrict or remove shared material and suspend sharing in its discretion. Client relationships and trading authority are established under the Client Agreement.

4. Information and investment risks

Third-party services and content. Prices, company information, news and other data may be supplied by third parties and may be delayed, inaccurate, incomplete or unavailable. Links and integrations are provided for convenience, and inclusion alone does not constitute an endorsement. Independent brokerage, payment, account-connection, AI and other services are subject to their applicable agreements. Stax does not control third-party websites or independent services. Stax-generated grades, research and AI-assisted explanations may also contain errors or outdated information.

Hypothetical performance. Historical tests and paper results are simulations, not actual investment performance. Historical testing and optimization may benefit from hindsight and are subject to assumptions, selection bias, overfitting and data limitations. Actual results may differ materially because of costs, taxes, execution prices, liquidity, market impact, market conditions and other factors. The disclosures accompanying a performance presentation describe its assumptions and limitations.

Investment risk. Investing involves risk, including loss of some or all of the amount invested. Past performance, hypothetical results, grades, projections and risk estimates do not guarantee future performance, achievement of an objective or avoidance of losses. Concentrated holdings, sector exposure and overlapping or correlated strategies may increase losses; using multiple strategies does not necessarily provide diversification. Methodologies, data sources, assumptions and available features may change.

Automated models and AI. Strategies, signals, grades and AI-assisted explanations depend on models, rules, assumptions and available inputs. Inaccurate, incomplete or outdated data, coding errors, model limitations and changing market relationships may produce unsuitable or unexpected results. Models may react to short-term movements or fail to adapt to new market conditions. AI-generated explanations may contain unsupported statements or misinterpret available information.

Execution and risk controls. Strategy-level stop-loss, trailing-stop, take-profit and drawdown settings are conditional rules, not guaranteed execution prices or maximum-loss limits. Market gaps, volatility, limited liquidity, trading halts, brokerage restrictions and processing delays may cause orders to be rejected, delayed, partially filled, unfilled or executed at prices different from those displayed or expected. Losses may exceed a selected threshold.

Technology and service availability. Failures or interruptions involving software, data feeds, networks, account connections, cybersecurity or brokerage systems may delay or prevent calculations, alerts, account updates or the submission, execution, modification or cancellation of orders. Automated actions depend on the operating conditions and procedures of the applicable feature and brokerage service.

Costs and taxes. Trading, rebalancing and strategy changes may increase transaction costs and result in taxable gains or losses. Fees, spreads, taxes and other costs can materially reduce net returns. Actual account results may differ from model or paper results.

Instructions and confirmations. Trade instructions and changes to account settings become effective through the authorization and confirmation procedures provided for the relevant feature and are subject to the Client Agreement.

5. Disclaimer of warranties

This section applies to website, app and content functionality outside investment advisory services governed by the Client Agreement.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STAX AND ITS LICENSORS AND SERVICE PROVIDERS PROVIDE THAT FUNCTIONALITY AND CONTENT ON AN "AS IS" AND "AS AVAILABLE" BASIS. THEY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING, PERFORMANCE OR USAGE OF TRADE.

STAX MAKES NO WARRANTY THAT THE PLATFORM OR CONTENT WILL BE UNINTERRUPTED, TIMELY, ACCURATE, COMPLETE, RELIABLE, SECURE, COMPATIBLE WITH EVERY DEVICE, FREE OF ERRORS OR HARMFUL CODE, OR THAT DEFECTS WILL BE CORRECTED. INFORMATION OR COMMUNICATIONS ABOUT THE PLATFORM CREATE NO WARRANTY EXCEPT AN EXPRESS WRITTEN WARRANTY STAX AGREES TO PROVIDE. APPLICABLE LAW MAY GIVE YOU WARRANTIES THAT CANNOT BE EXCLUDED.

6. Limits on our liability

Scope. This section applies to claims arising from the website, app or content other than claims arising from Stax’s investment advisory services under the Client Agreement, including advisory services delivered through software or third-party providers.

Excluded damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAX AND ITS MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS AND SERVICE PROVIDERS, ACTING IN CONNECTION WITH THE COVERED PLATFORM FUNCTIONALITY, WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, OPPORTUNITIES, GOODWILL, USE OR DATA, ARISING OUT OF A CLAIM WITHIN THIS SECTION, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

Aggregate cap. THE TOTAL COMBINED LIABILITY OF THOSE PARTIES TO YOU FOR ALL CLAIMS WITHIN THIS SECTION WILL NOT EXCEED US $100 IN THE AGGREGATE. THIS IS A SINGLE CUMULATIVE CAP, NOT A SEPARATE CAP FOR EACH CLAIM, EVENT OR DEFENDANT, AND APPLIES REGARDLESS OF THE LEGAL THEORY ASSERTED.

Exceptions. The limitations in this section do not apply to fraud, gross negligence, willful misconduct, breach of fiduciary duty or liability that applicable law prohibits limiting. Nothing in these Terms waives or limits rights or remedies under federal or state securities laws or other rights that cannot lawfully be waived.

6A. Indemnification

To the extent permitted by law, you agree to indemnify, defend and hold harmless Stax and its members, officers, directors, employees, agents and licensors against third-party claims, losses, liabilities, damages and reasonable legal expenses to the extent arising from your breach of these Terms, unlawful conduct, or User Content that infringes or violates another person’s rights. This obligation excludes amounts attributable to an indemnified party’s negligence, contractual or fiduciary breach, or unlawful conduct.

Stax will provide reasonably prompt notice of a claim; a delay reduces your obligation only to the extent it materially prejudices the defense. Stax may assume control of the defense with counsel of its choice, and you agree to reasonably cooperate. A settlement imposing an admission, non-monetary obligation or payment on you requires your consent, not to be unreasonably withheld.

7. Disputes

Agreement to arbitrate. Except as provided below, you and Stax agree to resolve disputes arising out of or relating to these Terms or use of the website or app through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules and, when applicable, Mass Arbitration Supplementary Rules. The Federal Arbitration Act governs. The Client Agreement’s dispute provisions govern claims within their scope.

Informal resolution. Before filing an arbitration demand, each claimant must send an individual written notice signed by that claimant identifying the account email, contact details, facts, requested relief and good-faith calculation of monetary relief. Send notices to team@staxlabs.org with "Dispute Notice" in the subject line or to Stax’s address below. Stax will use your account email or the contact information in your notice. The parties will attempt resolution in good faith for 60 days after receipt and, on request, participate in an individual telephone or video conference. Applicable limitation periods are tolled during those 60 days to the extent permitted by law. Eligible small-claims proceedings, applications for urgent provisional relief and action needed to preserve a right or meet a non-extendable deadline may proceed sooner.

Exceptions and waivers. Either party may bring an eligible claim that remains in small-claims court, seek court relief for infringement or misuse of intellectual property or unauthorized system access, or seek urgent provisional relief. FOR ARBITRABLE CLAIMS, YOU AND STAX WAIVE A COURT OR JURY TRIAL. TO THE EXTENT PERMITTED BY LAW, CLAIMS MUST PROCEED INDIVIDUALLY, AND EACH PARTY WAIVES CLASS, COLLECTIVE AND REPRESENTATIVE PROCEEDINGS IN ARBITRATION OR COURT. There is no class arbitration. Coordination under AAA’s mass-arbitration procedures does not itself authorize class relief.

Procedure and costs. AAA rules, filing instructions and fee schedules are available at https://www.adr.org/industries/consumer/ or 800-778-7879. One neutral arbitrator will hear the dispute. Where no disclosed claim or counterclaim exceeds $25,000, documents-only procedures apply unless the parties agree otherwise or the arbitrator determines that a hearing is necessary under the applicable rules. Hearings may be conducted remotely or in your county of residence as the applicable rules provide, unless the parties agree otherwise. Fees and arbitrator compensation are allocated under AAA’s applicable consumer rules and schedules; Stax pays the amounts allocated to the business. Attorneys’ fees, costs and sanctions may be awarded only as applicable law and rules allow. The arbitrator may award relief available under applicable law and will issue a written award that may be enforced in a court with jurisdiction.

Authority and severability. The arbitrator decides interpretation, scope and enforceability, except that a court decides formation of this agreement and enforceability of the class and representative-action restrictions. A claim or remedy that cannot lawfully be required to proceed individually or in arbitration may proceed in the legally required forum; remaining arbitrable claims remain in arbitration to the extent permitted by law. This section preserves non-waivable remedies and communications or complaints to government agencies and regulators.

Opt-out. You may opt out by sending your own email to team@staxlabs.org within 30 days after first affirmatively accepting this arbitration agreement. State your name, account email and decision to opt out of ToS arbitration. A valid opt-out remains effective for later versions. Other Terms remain effective. Opt-outs under a separate Client Agreement follow that agreement.

Administration and amendments. If AAA is unavailable for reasons other than Stax’s non-compliance, the parties may agree on another consumer arbitration provider or seek relief under the Federal Arbitration Act. If AAA declines administration because of Stax’s non-compliance, the consumer may pursue court relief available under AAA rules or law. This section survives termination. Amendments apply prospectively with legally effective notice and assent and do not govern a dispute already identified in written notice. Previously accepted dispute agreements govern until validly superseded, and valid opt-outs remain effective.

8. If you use the app from Apple's App Store

These Terms are between you and Stax, not Apple, and Apple is not responsible for the app or its content. Stax provides maintenance and support specified here or required by law; Apple has no obligation to provide maintenance or support for the app. Your non-transferable app license permits use on Apple-branded products you own or control as allowed by Apple Media Services usage rules, including applicable Family Sharing and volume-purchase rules. This does not permit sharing an individual investing login. Comply with applicable third-party agreements when using the app. If the app fails to meet an applicable warranty that has not been effectively disclaimed, you may notify Apple, and Apple will refund the price you paid to Apple for the app, if any; to the maximum extent law permits, Apple has no other warranty obligation for it. Other warranty-related claims, losses and expenses are Stax’s responsibility as applicable law and these Terms provide. Apple is not responsible for any claim about the app or your use of it, including product liability, legal or regulatory compliance, consumer protection, privacy, or intellectual property claims; Stax is, as these Terms and applicable law provide. Stax, not Apple, is responsible for investigation, defense, settlement and discharge of third-party claims that the app or your possession and use infringe intellectual property. These Terms do not limit liability beyond what law permits. You confirm you are not in a country under a U.S. embargo or designated as a terrorist-supporting country and not on a U.S. government list of prohibited or restricted parties. Apple and its subsidiaries may enforce these app-license Terms against you as third-party beneficiaries.

9. General

Wyoming law governs these Terms, except where federal law or mandatory protections of your jurisdiction apply. Except for small claims, required local forums and claims governed by the Client Agreement, court proceedings outside arbitration belong in the state courts in Sheridan County, Wyoming, or federal courts for the District of Wyoming, to the extent permitted by law. We may change these Terms prospectively by posting a new version with its date at staxlabs.org/terms; account users receive notice of material changes through the app or email before they take effect, and we request acceptance when law or an applicable agreement requires it. Client Agreement amendments follow that agreement; existing dispute agreements and valid opt-outs are addressed in section 7. If a part of these Terms is unenforceable, the rest still applies, subject to section 7.

These Terms and separately accepted platform-specific terms are the entire agreement about website and app use, subject to the Client Agreement’s priority and other applicable obligations. Failure to enforce a term once is not a waiver. You may not assign these Terms without our written consent; we may assign them in a reorganization, merger or transfer of the relevant business, subject to law. Assignment of an advisory contract is governed by the Client Agreement and applicable consent requirements.

Keep your account email current. We may send platform notices there or through the app; notices to us use the contact details below. Required regulatory communications follow the Client Agreement, applicable electronic-delivery consent and law. Ownership, accrued obligations, lawful content retention, disclaimers, liability, indemnity, disputes and general provisions survive termination to the extent their purpose requires. Only persons expressly protected in sections 6 and 6A and Apple under section 8 have third-party enforcement rights.
